Welcome to ModelRed. These Terms of Service ("Terms") govern your access to and use of the ModelRed platform and services (the "Services") provided by ModelRed Inc. ("ModelRed," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Acceptance of Terms

1.1 Agreement

By creating an account, accessing, or using the Services, you confirm that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • You agree to comply with these Terms and all applicable laws and regulations.

1.2 Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with a new "Last Updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

2. Description of Services

2.1 AI Security Testing Platform

ModelRed provides a cloud-based platform for AI security testing, red teaming, and vulnerability assessment for large language models (LLMs) and AI systems. The Services include:

  • Automated security probe execution against AI models
  • Versioned probe packs for testing attack vectors
  • Detector-based verdict generation
  • Security scoring and reporting
  • Integration with third-party AI model providers (OpenAI, Anthropic, Google, AWS, Azure, and others)

2.2 Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that could temporarily affect service availability. We are not liable for any downtime or service interruptions.

2.3 Free Tier and Paid Plans

We offer both free and paid subscription tiers. Each tier has specific usage limits, features, and pricing as described on our website. We reserve the right to modify pricing, features, and usage limits at any time with reasonable notice to paid subscribers.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Services, you must create an account by providing accurate and complete information, including your name and email address.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms
  • Your use of the Services poses a security or legal risk
  • You engage in fraudulent, abusive, or illegal activity
  • Your account remains inactive for an extended period

Upon termination, your right to access and use the Services ceases immediately.

4. Use of Services

4.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. Specifically, you agree to:

  • Use the Services to test AI models and systems for which you have authorization and legal right to test.
  • Use your own API keys and credentials for third-party AI model providers.
  • Comply with all applicable laws, regulations, and third-party terms of service.

4.2 Prohibited Use

You agree not to:

  • Use the Services to test AI models or systems without proper authorization or using API keys that you do not own or have permission to use.
  • Violate any laws, regulations, or third-party rights.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive source code from the Services.
  • Interfere with or disrupt the Services or servers/networks connected to the Services.
  • Use the Services to transmit viruses, malware, or other harmful code.
  • Engage in any activity that could damage, disable, or impair the Services.
  • Resell, sublicense, or redistribute the Services without our express written permission.
  • Use the Services for any illegal, harmful, or malicious purposes.
  • Impersonate any person or entity or falsely represent your affiliation with any person or entity.

Violation of these prohibited uses may result in immediate suspension or termination of your account and possible legal action.

5. API Keys and Third-Party Integrations

5.1 Your Responsibility

When you provide API keys or credentials for third-party AI model providers:

  • You represent and warrant that you own or have the legal right to use these credentials.
  • You are responsible for all costs, charges, and usage associated with your API keys.
  • You are responsible for compliance with the terms of service of third-party providers.

5.2 Public Model Providers

You may use ModelRed to test publicly available AI models from providers such as OpenAI, Anthropic, Google, AWS, Azure, and others, provided that:

  • You use your own valid API keys and credentials.
  • You comply with the terms of service of the respective AI model providers.

5.3 Security

We encrypt and securely store your API keys. However, you are responsible for the security of your third-party accounts and should regularly rotate your API keys and credentials.

6. Intellectual Property

6.1 ModelRed Ownership

The Services, including all software, algorithms, designs, documentation, and content (excluding user-provided content), are the intellectual property of ModelRed and are protected by copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. You do not acquire any ownership rights to the Services.

6.2 User Content

You retain ownership of any data, prompts, or content you provide to the Services ("User Content"). By using the Services, you grant ModelRed a worldwide, non-exclusive, royalty-free license to use, process, and analyze your User Content solely to:

  • Provide and improve the Services.
  • Train and improve our AI security detection models and algorithms using aggregated and anonymized data.

7. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

8. Payment and Billing

8.1 Paid Subscriptions

If you subscribe to a paid plan:

  • You agree to pay all fees associated with your subscription tier.
  • Payments are processed through our third-party payment processor, Stripe.
  • Fees are billed in advance on a recurring basis (monthly or annually, as selected).
  • All fees are non-refundable unless otherwise required by law.

8.2 Usage Limits

Each subscription tier includes specific usage limits (e.g., number of probes, API calls, test runs). If you exceed your usage limits, we may:

  • Temporarily suspend access to certain features.
  • Require you to upgrade to a higher-tier plan.
  • Charge overage fees as specified in your plan.

8.3 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of price increases to paid subscribers. Continued use of the Services after a price increase constitutes acceptance of the new pricing.

9. Disclaimers and Limitations of Liability

9.1 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, error-free, or secure.
  • The results obtained from the Services will be accurate, complete, or reliable.
  • Any errors or defects in the Services will be corrected.

9.2 No Guarantee of Security Results

The Services provide AI security testing and vulnerability assessment tools. However:

  • Results are not guarantees: Security findings, verdicts, and scores generated by the Services are for informational purposes only and do not guarantee the security or safety of your AI systems.
  • Not a substitute for comprehensive security: The Services should be used as part of a broader security strategy and do not replace professional security audits or assessments.
  • User responsibility: You are solely responsible for the security and operation of your AI systems and for any actions taken based on the results provided by the Services.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODELRED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF MODELRED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MODELRED'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID TO MODELRED IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF YOU HAVE NOT PAID ANY FEES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless ModelRed and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights, including intellectual property rights or privacy rights.
  • Your violation of any applicable laws or regulations.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any disputes arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, United States. You consent to the personal jurisdiction of such courts.

11.3 Arbitration (Optional)

If we choose to implement binding arbitration for dispute resolution in the future, we will provide notice and an opportunity to opt out.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ModelRed regarding the Services and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms at any time without notice.

12.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, or internet outages.
